Maintaining the Investment: Changes, Fund Maturity and Exit

The investment timeline, residence timeline and commercial exit timetable may differ. Renewal depends on evidence of continuing eligibility, and a planned exit needs its own legal assessment.

Key considerations

  • Article 65-B counts the minimum five-year maintenance period from the grant of residence.
  • A fund’s minimum maturity at subscription is a separate requirement.
  • A distribution, transfer or restructuring should be assessed before assuming the investment condition remains satisfied.

Three timelines to distinguish

The qualifying investment normally exists before the residence application is presented. Article 65-B of Regulatory Decree No. 84/2007 then counts the minimum five-year maintenance period from the date the residence authorisation is granted. These dates should be recorded separately.

For the fund route, the undertaking must also have at least five years of maturity at the moment of investment. That test does not align the fund’s contractual end date with the investor’s residence date. Time spent awaiting an immigration decision can therefore matter when considering the investment’s duration and liquidity.

What renewal evidence must establish

Article 90-A(2) of Law No. 23/2007 requires proof that the relevant investment conditions remain satisfied. Article 65-E sets out evidence according to the route. Keep the original file and a separate record of each renewal’s updated evidence.

RouteContinuing evidence identified in the regulation
FundsOwnership free of encumbrances and a manager’s declaration that the investment conditions remain satisfied.
ResearchInstitution’s declaration addressing subsequent changes attributable to the applicant that could compromise the support.
CultureGEPAC and beneficiary declarations addressing maintenance of the investment or support.
EmploymentOfficial verification of the required number of jobs.
Company capitalCorporate registry evidence of the company or interest, together with verification of employment.

Keep a maintenance file from the outset

A maintenance file should allow another adviser to understand the investment without reconstructing years of correspondence. Record the investment completion date, residence grant date, permit validity periods, renewal submissions and the dates of material changes. Retain the decision that establishes the grant date instead of inferring it from a later travel date.

Keep the original investment documents and each later version in chronological order. Add ownership certificates, manager or beneficiary declarations, notices of distributions and your written responses. Distinguish a document that proves the original transaction from one that demonstrates the current position.

Before a renewal or proposed exit, prepare a short factual summary of what has changed since the last submission. Send that summary with the underlying documents. This helps identify a missing declaration, unclear capital repayment or change of legal holder while there is still time to investigate.

Fund maturity, distributions and extensions

The fund documents determine the manager’s powers, permitted distributions, extension process and liquidation mechanics. A nominal maturity date does not guarantee repayment on that date. The immigration implications of a capital distribution are also distinct from the commercial right to receive it.

Request advance notice of proposed capital repayments, portfolio changes, mergers, liquidation or extensions. Have the legal adviser assess the effect on the qualifying amount and continuing conditions. Income distributions and capital repayments can have different characteristics; the label used in a notice should be checked against the underlying transaction.

Changing the investment or ownership structure

Neither a private agreement nor an assumption that a replacement is economically equivalent establishes that a change is acceptable for residence purposes. A proposed sale, substitution, pledge, transfer to another holder or restructuring needs an assessment under the applicable law and the applicant’s file.

In particular, the fund evidence requires ownership free of encumbrances. Before using units as security or changing their legal holder, examine whether the required certificate can still be issued. For a business, changes to capital or employment require the same attention to the conditions supporting the permit.

If the investment encounters difficulties

Collect the relevant notices, accounts, correspondence and updated certificates promptly. Establish what has changed, when it changed and whether it affects the legal condition, the supporting evidence or both. Avoid treating financial loss, project completion and withdrawal of capital as interchangeable events.

The research and cultural renewal provisions refer specifically to certain changes attributable to the applicant. Their application depends on the facts and the available declarations. For each route, advice should address the actual event and available administrative steps without assuming that a replacement or cure is automatically accepted.

A practical sequence for assessing a change

Start with the transaction itself: identify what will move, who will own it afterwards, the amount affected and the proposed completion date. Then identify which current eligibility condition and certificate could be affected. A general request to “approve an exit” often omits these decisive facts.

  • Obtain the full notice, proposed agreement or corporate resolution, including effective dates and response deadlines.
  • Ask the issuer, manager or beneficiary how the change affects the evidence it can provide.
  • Have the legal adviser assess continuity, any applicable transitional provisions and whether clarification from the competent authority is needed.
  • Record the conclusion and outstanding conditions before authorising a voluntary transaction. For an event outside the investor’s control, preserve the notices and seek advice promptly.

Assess the legal position before exit

The end of a minimum period is not a decision granting permanent residence or citizenship. An application for a different status does not itself prove that the existing permit’s conditions can be abandoned. Confirm the status actually held, the next renewal and the legal basis for any proposed disposal.

Older property or capital-transfer cases also require examination of Law No. 56/2023’s transitional provisions. Build an exit file containing the residence decisions, investment dates, renewal evidence and proposed transaction documents, then obtain advice specific to that record.

Practical questions

What if the investment’s market value falls?

A valuation change and a withdrawal of qualifying capital are different events. Do not assume that every fall in value requires the same response, or that it has no immigration relevance. Provide the valuation, ownership evidence and manager’s explanation to your adviser so the actual circumstances can be assessed.

Can I rely on the original certificate if the manager no longer supplies renewal evidence?

The original certificate records an earlier position. Article 65-E specifies evidence of maintenance at renewal. Request a written explanation, current records and advice on how to address the evidential gap. An old certificate should not be presented as proof of facts it does not establish.

Should an exit review include my family’s residence files?

Yes. As a practical matter, include each family member’s current permit, renewal stage and any separate residence application. A conclusion about the investor’s intended next status should not be assumed to resolve every family member’s position. The legal review should identify the basis of each person’s continuing residence.
